Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by Sentio LLC (“Sentio,” “we,” “us,” or “our”), including our consulting platform, Mission Control portal, and any associated tools or deliverables, you (“Client” or “you”) agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Description of Services

Sentio provides AI-powered business consulting services delivered through a combination of human-led strategic engagement and proprietary AI systems. Each engagement is led by a dedicated strategic partner who interprets system-generated analysis, develops recommendations, and works directly with your team. Our proprietary system processes data you provide to generate intelligence, surface patterns, and support strategic decision-making.

Services may include strategic advisory, financial analysis, operational review, competitive intelligence, and access to Mission Control — a client-facing dashboard built around your business.

3. Payment Terms

Consulting engagements are billed on a monthly retainer basis. Payment is due at the beginning of each billing period. Retainer amounts are established in your engagement agreement. No refunds will be issued for the current billing period once payment has been processed. Sentio reserves the right to suspend services for accounts with outstanding balances exceeding 15 days past due.

4. Intellectual Property

All AI systems, models, methodologies, tools, algorithms, software, and proprietary processes used in the delivery of services remain the exclusive property of Sentio LLC. This includes, without limitation, the Sentio engine, all agent architectures, analytical frameworks, and the Mission Control platform.

Upon payment, you receive a limited, non-exclusive, non-transferable license to use the deliverables and outputs produced during your engagement solely for your internal business purposes. This license is contingent upon an active retainer. Upon termination of your engagement, you retain access to deliverables produced during your engagement period, but your license to Mission Control and any ongoing system access terminates immediately.

5. AI Training & Data Use

By using our services, you acknowledge and agree that data you provide — including uploaded documents, business information, financial records, and other materials submitted through our platform — may be used to train, improve, and refine Sentio’s proprietary AI systems. This training improves the quality and accuracy of our services for all clients.

We will not share your raw data with other clients or publish it externally. However, patterns, insights, and learnings derived from your data may be incorporated into our models in aggregate, anonymized form.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement. Sentio will not disclose your business data, financial information, or strategic plans to third parties without your written consent, except as required by law or as described in our Privacy Policy. You agree not to disclose Sentio’s proprietary methods, system architecture, or internal processes to third parties.

7. Limitation of Liability

Sentio provides strategic advisory services and AI-generated analysis to support your decision-making. We do not guarantee specific business outcomes, financial results, or the accuracy of any projections or recommendations. All strategic decisions remain solely your responsibility.

To the maximum extent permitted by law, Sentio’s total liability for any claims arising out of or related to these terms or our services shall not exceed the total fees paid by you during the three (3) months immediately preceding the claim. In no event shall Sentio be liable for indirect, incidental, consequential, special, or punitive damages.

8. Termination

Either party may terminate the engagement with thirty (30) days’ written notice to the other party. Upon termination, you will be responsible for payment through the end of the current billing period. Sentio will provide reasonable assistance in transitioning deliverables upon request.

9. Governing Law & Venue

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under these terms shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida.

10. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated to active clients via email. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
